Welcome to Buydecider ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website and our AI-powered shopping decision assistance service (the "Service").

Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

1. The Service

Buydecider analyzes images you upload and provides an AI-generated breakdown and a final recommendation.

Important: All recommendations generated by the Service are for general informational and entertainment purposes only. They are based on AI analysis and do not constitute professional, financial, medical, or any other specialized advice. You are solely and entirely responsible for your own purchasing decisions and any consequences thereof. We cannot and do not guarantee the accuracy, completeness, or usefulness of any recommendation.

2. Accounts and Eligibility

• Account Requirement: You must create an account to use the core features of the Service.
• Accuracy of Information: You agree to provide accurate, current, and complete information during registration.
• Eligibility: You must be at least 13 years of age to use the Service. If you are between the ages of 13 and the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscription, Pricing, and Billing

• Free Tier: We offer a free subscription tier that is limited to three (3) image analyses per day.
• Paid Subscription: A paid subscription plan offers unlimited daily usage. The specific pricing, features, and billing cycle (e.g., monthly, annually) will be clearly presented to you before you purchase.
• Fair Use Policy: Our Premier paid subscription plan is designed to offer unlimited usage for the vast majority of users. However, to ensure the stability and performance of the Service for all users, we reserve the right to impose a fair use limit to prevent abuse and excessive automated requests. Currently, this limit is set at three hundred (300) image analyses per day for Premier subscribers. This limit is solely intended to prevent system abuse and will not impact normal human usage patterns.
• Payment Authorization: By providing a payment method, you authorize us to charge all applicable fees to that method.
• Automatic Renewal: Paid subscriptions will automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date.
• Cancellation: You may cancel your paid subscription at any time through your account settings on our website or via your account on the platform (e.g., Stripe Customer Portal) where you manage your subscription. Cancellation will stop future charges but does not entitle you to a refund for the current billing period.
• Refunds: All fees paid are non-refundable, except as otherwise required by applicable law. We do not provide refunds for partially used subscription periods.
• Price Changes: We reserve the right to change subscription fees at any time. We will provide you with advance notice of any price changes.

4. Acceptable Use

You agree not to misuse the Service. For example, you must not, and must not attempt to:

• Use the Service for any illegal purpose or in violation of any laws.
• Upload any content that is unlawful, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Upload any content that infringes upon the intellectual property rights of others.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.

5. Intellectual Property

Your Content (Images)

You retain all ownership rights to the images you upload ("User Content"). By uploading User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, process, and transmit that User Content solely for the purpose of providing the Service to you in real-time. We do not store or retain your image content after the analysis is complete.

Our Intellectual Property

The Service, its original content (excluding User Content), features, functionality, and AI-generated analysis reports (the "Output") are and will remain the exclusive property of Buydecider and its licensors. The Service is protected by copyright, trademark, and other laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Output for your personal, non-commercial purposes.

Third-Party AI Services

The Service relies on third-party AI APIs (including but not limited to Kimi by Moonshot AI, Chatgpt, and Deepseek) and infrastructure services (like Cloudflare) to operate and generate analysis. You acknowledge that the Output is generated by these third-party services and we are not responsible for its content.

6. Privacy

Your privacy is critically important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.

7. Disclaimer of Warranties; Limitation of Liability

Disclaimer

The service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Buydecider, its developer, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any reliance placed on the completeness or accuracy of the AI-generated Output.

8. Termination

You may stop using the Service and terminate your account at any time.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

9. Governing Law and Dispute Resolution

Governing Law: These Terms and any action related thereto will be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.

Agreement to Arbitrate: Most disputes can be resolved without resorting to litigation. You and Buydecider agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") first through good faith negotiations. If we cannot resolve a Dispute within sixty (60) days after notification, you and Buydecider agree to submit the Dispute to final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in the State of Delaware.

Exceptions: Notwithstanding the above, either party may bring a lawsuit in the state or federal courts located in Delaware for the purpose of seeking injunctive or other equitable relief to prevent or stop unauthorized use or abuse of the Service, intellectual property infringement, or other actions that may cause irreparable harm.

No Class Actions: You may only resolve Disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
